Terms of Service

Last updated: 29 October 2026

These Terms of Service (the "Terms") are a legally binding agreement between [Legal name of the business, e.g. Spannr Limited], trading as Spannr ("Spannr", "we", "us"), and the business that registers for and uses Spannr ("you", the "Customer"). Please read them carefully. By ticking the box at registration, or by using the service, you accept these Terms on behalf of the business you represent.

1. Who we are and what these terms cover

Spannr is an online workshop-management service for car garages: job intake and job board, mechanic job views, job chat with photos, parts and stock tracking, bookings, a dealer portal, history, and related features (the "Service"), available at www.spannr.ie and through the installable web app.

The Service is provided by [Legal name of the business, e.g. Spannr Limited], registered address [Registered address, Ireland], company registration number [CRO company number, or 'sole trader' details], VAT number [VAT number, or 'not VAT registered']. You can contact us at support@spannr.ie.

These Terms include our Data Processing Agreement and our Privacy Policy and Cookie Policy, which you should also read. If there is a conflict about the processing of personal data, the Data Processing Agreement prevails.

2. Business customers only

The Service is designed for and offered only to businesses. By registering you confirm that you are acting for the purposes of your trade, business or profession and not as a consumer, and that you are authorised to accept these Terms on behalf of the business named in your account.

Because the Service is supplied business-to-business, consumer protection rules that apply only to consumers, including the cancellation ("cooling-off") rights under the Consumer Rights Act 2022, do not apply to it. Nothing in these Terms limits any right you have that cannot lawfully be limited.

3. Your account and your users

  • You must give accurate registration details, keep them up to date, and confirm your email address before the account is activated.
  • The person who registers becomes the workshop administrator. Administrators can create logins for mechanics and, where enabled, for car dealers. You are responsible for everything done under your account and its logins, for choosing who gets access, and for removing access when someone leaves.
  • Keep passwords confidential. Tell us immediately at support@spannr.ie if you suspect unauthorised access.
  • You must be at least 18 years old to register.

4. Free trial

  • New workshops can start with a free trial. The trial length is shown on the pricing page when you choose a plan (currently 14 days).
  • A valid payment card is required to start the trial. You will not be charged during the trial.
  • Unless you cancel before the trial ends, your subscription starts automatically at the end of the trial and your card is charged the price of the plan and billing period you chose. You can cancel at any time during the trial from Settings → Billing ("Manage subscription") and you will not be charged.
  • One free trial is available per business. We may refuse or end a trial if we reasonably believe it is being misused (for example, repeated sign-ups for the same business).

5. Plans, prices and payment

  • The Service is offered on the subscription plans shown on our pricing page, billed monthly or yearly in advance. Plan features and limits are those described on the pricing page at the time you subscribe.
  • Prices are in euro. Where we are required to charge VAT, prices include VAT at the applicable Irish rate unless stated otherwise. Business customers in other EU Member States who provide a valid VAT number may be invoiced under the reverse-charge mechanism where the law allows.
  • Payments are processed by our payment provider, Stripe Payments Europe, Limited. By subscribing you authorise us, through Stripe, to charge your payment method for each billing period until you cancel. We do not receive or store your full card details.
  • Invoices and receipts are available in the billing portal (Settings → Billing → Manage subscription).
  • We may, at our discretion, give a workshop complimentary or discounted access, or access arranged outside online checkout (for example for a fixed period). Such access lasts for the period we confirm, and these Terms otherwise apply in full.

6. Renewal, changes and cancellation

  • Subscriptions renew automatically at the end of each billing period for the same period length, unless cancelled before the renewal date.
  • Cancelling: you can cancel at any time in the billing portal. Cancellation takes effect at the end of the current paid period; you keep access until then. We do not refund the remainder of a period already paid for, except where the law requires it or we agree otherwise in writing.
  • Changing plan: you can switch plan or billing period in the billing portal or by contacting us. Stripe calculates any difference proportionally (prorated) unless we tell you otherwise.
  • Price changes: we may change our prices. We will tell you at least 30 days before a new price applies to your subscription, and it will apply from your next renewal after that notice. If you do not agree, you can cancel before the renewal.

7. Failed payments and suspension

If a payment fails, Stripe will retry it and we will let you know. Your workshop keeps working for 7 days after the failed payment. If payment is still outstanding after that, access is suspended: your administrator is taken to the billing page and other users see a notice, until payment is made. Your data is kept during suspension (see section 14 for what happens if the agreement ends).

8. Acceptable use

You must not, and must make sure your users do not:

  • use the Service for anything unlawful, or to store or send content that is unlawful, infringing, defamatory or harmful;
  • enter personal data that you have no lawful basis to process, or special category data (for example health data) that the Service is not designed for;
  • try to access another workshop's data, probe or bypass security or access controls, or interfere with the Service or other customers;
  • copy, resell, sublicense or make the Service available to third parties other than your own staff and dealers, or reverse engineer it except where the law expressly allows;
  • use automated means (bots, scrapers) to access the Service, or place an unreasonable load on it;
  • upload malware or files designed to cause harm.

9. Your data and data protection

  • Your data stays yours. Everything you and your users enter (jobs, customer details, vehicle details, photos, notes, stock and so on) is your data ("Customer Data"). You give us the right to host, process and display it only as needed to provide, secure and support the Service.
  • For personal data in Customer Data (for example your customers' names and phone numbers), you are the controller and Spannr is your processor. Our Data Processing Agreement forms part of these Terms and sets out how we process it. You are responsible for having a lawful basis to collect that data and for telling your customers how you use it.
  • For your own account information (for example your administrator's name and email, and billing details), Spannr is the controller, as described in our Privacy Policy.
  • You are responsible for keeping any copies of Customer Data you need. We take regular backups for our own recovery purposes, but the Service is not a backup or archiving service.

10. AI features, WhatsApp messages and third-party services

  • AI features. Plate reading from a photo, and turning dictated notes into a summary and parts list, use an AI service provided by Anthropic. AI output can be wrong or incomplete. You must check plates, parts, quantities and summaries before relying on them; you remain responsible for the work carried out and the parts ordered.
  • Voice dictation uses your browser's built-in speech recognition. Depending on your browser, the audio may be processed by the browser provider (for example Google, for Chrome) under its own terms. Spannr receives only the resulting text.
  • WhatsApp messages are prepared by Spannr but sent by you from your own WhatsApp account through a WhatsApp link. Spannr does not send them and is not responsible for WhatsApp. You are responsible for having permission to contact the person you message.
  • Other third-party services we rely on are listed in the Data Processing Agreement.

11. Availability, support and changes to the service

  • We aim to keep the Service available and working well, but we do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, which we try to schedule outside normal workshop hours.
  • Support is provided by email at support@spannr.ie, on business days, on a reasonable-efforts basis.
  • We continually improve the Service and may add, change or remove features. If we remove a feature that is a material part of your plan, we will tell you in advance and, if you are on a yearly plan and it materially affects you, you may cancel and receive a pro-rata refund for the unused full months.

12. Intellectual property

We (and our licensors) own all rights in the Service, including the software, design, the Spannr name and logo. Subject to these Terms and to paying for your subscription, we give you a non-exclusive, non-transferable right for your staff and dealers to use the Service for your business during your subscription. If you send us suggestions or feedback, we may use them freely.

13. Warranties and liability

  • We will provide the Service with reasonable skill and care. Apart from that and any terms that cannot be excluded by law, the Service is provided "as is" and we give no other warranties, express or implied, including as to fitness for a particular purpose.
  • We are not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill or anticipated savings, or for loss or corruption of data except to the extent caused by our breach of the Data Processing Agreement.
  • Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the total fees you paid us for the Service in the 12 months before the event giving rise to the claim.
  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under Irish law.
  • You will compensate us for losses we suffer as a result of a claim by a third party arising from Customer Data you upload or from your or your users' breach of section 8 (Acceptable use).

14. Ending the agreement

  • You can end the agreement at any time by cancelling your subscription; it ends at the end of the current paid period.
  • We may suspend or end your access immediately if you seriously or repeatedly breach these Terms, do not pay (see section 7), or if we must do so by law. Where reasonable, we will warn you first and give you a chance to fix the problem.
  • We may end the Service for all customers on at least 90 days' notice, refunding any prepaid fees for the period after it ends.
  • Your data after the agreement ends: for 30 days after the end you can ask us at support@spannr.ie for an export of your Customer Data. After that we delete Customer Data from the live Service, and from backups within a further 30 days, unless the law requires us to keep it. Billing records are kept as described in the Privacy Policy.
  • Sections that by their nature should survive (for example 9, 12, 13 and 16) continue after the agreement ends.

15. General terms

  • Changes to these Terms. We may update these Terms. For material changes we will give you at least 30 days' notice by email or in the app. If you continue to use the Service after the change takes effect, the new Terms apply; if you do not agree, you can cancel before then.
  • Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control (for example outages of hosting or telecoms providers, or natural events).
  • Assignment. You may not transfer the agreement without our consent. We may transfer it to a successor of our business, and will tell you if we do.
  • Whole agreement. These Terms (with the documents they refer to) are the whole agreement between us about the Service. If a provision is found invalid, the rest remains in force. A delay in enforcing a right does not waive it.
  • Notices. We will send notices to the email address of your workshop administrator. You can send notices to support@spannr.ie.

16. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction. Before going to court, we both agree to try in good faith to resolve the dispute by talking to each other first.
